Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and IdeaRoom, Inc. ("IdeaRoom," "we," "our," or "us") governing your access to and use of the IdeaRoom website, mobile application, and other online services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Please read these Terms carefully, as they include important information about your legal rights. By accessing or using the Services, you represent that you are at least 18 years old or the age of majority in your jurisdiction, whichever is greater, or that you are at least 13 years old and have the consent of a parent or guardian to use the Services.

2. Access to Services

Subject to these Terms, IdeaRoom grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial use.

We reserve the right to modify, suspend, or discontinue the Services (in whole or in part) at any time, with or without notice to you. You agree that we will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Services.

We may, in our sole discretion, limit or restrict access to the Services based on any criteria, including geographic location, IP address, or other factors. You agree not to circumvent or attempt to circumvent any such restrictions.

3. User Accounts

To access certain features of the Services, you may need to create an account. When you create an account, you must provide accurate and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to immediately notify IdeaRoom of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this section.

We reserve the right to disable any user account at any time, in our sole discretion, if we believe that you have violated these Terms or if we believe that your account poses a security risk.

4. User Content

The Services may allow you to create, post, upload, share, or store content, including but not limited to ideas, text, graphics, videos, images, notes, research, presentations, mindmaps, and other materials (collectively, "User Content"). You retain all rights in, and are solely responsible for, the User Content you post to the Services.

By creating, posting, or sharing User Content on or through the Services, you grant IdeaRoom a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with operating and providing the Services.

You represent and warrant that: (i) you own the User Content or have the right to use and grant us the rights and license as provided in these Terms, and (ii) the posting of your User Content on or through the Services does not violate the privacy rights, publicity rights, copyrights, contract rights, intellectual property rights, or any other rights of any person.

5. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Using the Services for any illegal purpose or in violation of any local, state, national, or international law;
  • Harassing, threatening, intimidating, or stalking other users of the Services;
  • Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity;
  • Interfering with or disrupting the Services or servers or networks connected to the Services;
  • Attempting to gain unauthorized access to the Services, other user accounts, or computer systems or networks connected to the Services;
  • Collecting or harvesting any information from the Services, including user account information, without authorization;
  • Posting or transmitting any content that is libelous, defamatory, obscene, pornographic, abusive, offensive, profane, or otherwise violates any law or right of any third party;
  • Using the Services in any manner that could disable, overburden, damage, or impair the Services;
  • Using any robot, spider, or other automatic device, process, or means to access the Services for any purpose;
  • Introducing any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
  • Attempting to decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services;
  • Removing any copyright, trademark, or other proprietary notices from any portion of the Services;
  • Reproducing, copying, or selling any portion of the Services, except as expressly permitted by these Terms;
  • Accessing or using the Services for any commercial purposes, except as expressly permitted by these Terms.

6. Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by IdeaRoom, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • You may print or download one copy of a reasonable number of pages of the Services for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
  • If we provide social media features with certain content, you may take such actions as are enabled by such features.

7. Third-Party Links & Content

The Services may contain links to third-party websites, services, or resources that are not owned or controlled by IdeaRoom. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services.

If you access a third-party website from the Services, you do so at your own risk, and you understand that these Terms and our Privacy Policy do not apply to your use of such sites. You expressly relieve IdeaRoom from any and all liability arising from your use of any third-party website, service, or content.

8. Payments & Subscriptions

Some aspects of the Services may be provided for a fee or other charge. If you elect to use paid aspects of the Services, you agree to the pricing and payment terms as we may update them from time to time. IdeaRoom may add new services for additional fees and charges, or amend fees and charges for existing services, at any time in its sole discretion.

You may cancel your subscription at any time; however, there are no refunds for cancellation. In the event that IdeaRoom suspends or terminates your account or these Terms, you understand and agree that you shall receive no refund or exchange for any unused time on a subscription, any license or subscription fees for any portion of the Services, any content or data associated with your account, or for anything else.

9. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Services, or you may contact us using our contact form to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. IDEAROOM EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IDEAROOM MAKES NO WARRANTY THAT (I) THE SERVICES WILL MEET YOUR REQUIREMENTS, (II) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, OR (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS.

11. Limitation of Liability

IN NO EVENT SHALL IDEAROOM, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

12. Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
